Terms of Business
The terms that apply to B2B orders with Lotus Global Traders.
These Terms of Business apply to sales of goods by Lotus Global Traders Sp. z o.o. ("Lotus", "Seller") to business customers ("Buyer"), unless a signed contract states otherwise. They do not apply to consumers. If there is a conflict, the signed order contract prevails over these Terms.
1. Quotations and orders
1.1 Quotations are non-binding unless they state a validity period. Prices are quoted per enquiry as a delivered price per piece, based on product, fabric, quantity and destination.
1.2 A binding order exists when the specification, quantity, price, delivery date and payment terms are confirmed in a written contract or order confirmation signed or accepted by both parties.
1.3 The standard minimum order quantity is 1,000 pieces per style. Quantities of 300 to 500 pieces per style may be accepted at a premium price.
2. Samples
Sample development is additional to the order lead time. Sample cost and any shipping charges are quoted separately and are payable in advance. The Buyer's written approval of a pre-production sample defines the standard for the order.
3. Prices and currency
Prices are stated in PLN, EUR or USD as agreed and exclude VAT unless stated otherwise. Delivered prices include freight, EU import clearance and duties as stated in the quotation. Changes to specification, quantity, destination or applicable tariffs after confirmation may lead to a price adjustment, agreed in writing.
4. Payment
4.1 Unless otherwise agreed, a deposit is payable on order confirmation and the balance is payable after the goods pass the agreed inspection and before dispatch. The deposit percentage is stated in the order contract.
4.2 For larger orders, payment may be made by irrevocable documentary Letter of Credit at sight, subject to Seller's prior approval of its terms. Bank charges for opening and amending the LC are for the Buyer's account unless agreed otherwise.
4.3 Samples and small or urgent orders are payable in full in advance.
4.4 Open-account credit terms are not granted to new customers. Production starts when the deposit or other agreed security is received.
4.5 Payments are made by bank transfer to the account shown on Seller's proforma invoice. Seller will not change bank details by chat message alone; Buyer should verify any change by phone before paying.
4.6 Late payment entitles Seller to statutory interest for late payment in commercial transactions and to suspend further performance.
See also our Payment Terms page.
5. Production, delivery and risk
5.1 Indicative lead time is approximately 12 to 16 weeks from order confirmation (and receipt of the deposit), excluding sample development. Delivery dates are targets unless expressly agreed as fixed in the contract.
5.2 Goods are delivered to the Buyer's warehouse stated in the contract, customs cleared, with duties paid, on terms equivalent to Incoterms 2020 DDP unless otherwise agreed. Risk passes to the Buyer on delivery at that address; title passes on full payment.
5.3 Delays caused by the Buyer (late approvals, changes, late payment) extend delivery dates accordingly.
6. Inspection and quality
Goods are inspected before dispatch against the agreed AQL standard and specification. An inspection report with photographs is provided before shipment. Minor tolerances customary in the garment industry (for example +/- 5% in quantity per style, unless otherwise agreed) apply.
7. Claims and remedies
7.1 The Buyer must inspect the goods on receipt and notify Seller in writing of any visible defect or quantity discrepancy, with photographs and the batch details, within 14 days of delivery. Hidden defects must be notified within 14 days of discovery and no later than 6 months after delivery.
7.2 If goods do not meet the agreed specification, Seller will, at its option, repair, replace, or credit the affected goods.
7.3 Goods that have been worn, washed, altered or used contrary to care instructions are excluded from claims.
8. Liability
To the extent permitted by law, Seller's total liability for any claim relating to an order is limited to the price of the affected goods, and Seller is not liable for indirect losses, lost profit or loss of business. Nothing in these Terms excludes liability that cannot be excluded under Polish law, including liability for wilful misconduct.
9. Intellectual property and confidentiality
The Buyer warrants that its designs, logos and specifications do not infringe third-party rights and indemnifies Seller against related claims. Each party keeps the other's confidential information confidential. A separate non-disclosure agreement is available on request and is signed before designs or specifications are shared.
10. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, strikes, pandemics, war, government action, port closures or carrier disruption. The affected party will notify the other promptly and agree a revised schedule.
11. Cancellation
Once production has started, the Buyer may cancel only with Seller's written agreement and must pay for materials purchased and work completed. Deposits are non-refundable to that extent.
12. Governing law and disputes
These Terms and all contracts are governed by Polish law. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. Disputes are submitted to the competent Polish court for Seller's registered seat, unless otherwise agreed in the contract.
13. Personal data
Personal data is processed as set out in our Privacy Policy.
